The course aims at providing the students’ knowledge of the legal framework in which the corporations operate.

Company Law, Formation of Companies; Shares: Issue of Shares, Prospectus, Buy-Back of Securities, Reduction of Capital, Investment, Borrowing and Debentures,Company Directors, Distributable Profits and Dividends, Compromises, Arrangements and Amalgamations; SEBI Act, SEBI Disclosure and Investor Protection Guidelines, SEBI Insider Trading Guidelines; Foreign Exchange Management Act: Basic Concepts and Definitions, Foreign Direct Investment Portfolio Investment Scheme, Convertibility of Indian Rupee, Bank Accounts Allowed by FEMA, External Commercial Borrowings, Issue of Securities Through American Depository Receipts (ADR), Global Depository Receipts (GDR) Mechanism, Indian Joint Ventures Abroad
